Natco Pharma Acquires 35.75% Stake in Adcock Ingram for ₹2,000 Crore

Natco Pharma Ltd. recently announced its decision to acquire a 35.75% interest in Adcock Ingram Holdings Ltd., a company based in South Africa. This news was confirmed through reports from CNBC Awaaz.

Natco Pharma has made a formal offer to buy minority shares at ZAR 75.00 each, which is roughly $4.27. The total investment amounts to ₹2,000 crore, encompassing 51.64 million shares.
If the offer is accepted, Natco Pharma’s stake in Adcock Ingram will be valued at approximately ₹400 crore.

The estimated valuation of Adcock Ingram stands at ₹1,100 crore. Following this acquisition, Natco’s stake will complement the existing 64.25% held by Bidvest, allowing for a partnership between two significant shareholders. Adcock Ingram is expected to operate as a privately held entity in South Africa.

In FY24, Adcock Ingram generated revenue of ₹960 crore, achieving a gross margin of 33.4%. The company reported an EBITDA of ₹140 crore with a margin of 14.6%, alongside a profit after tax of ₹81.4 crore. For the six months ending December 2024, it noted revenue of ₹470 crore and a net profit of ₹38.9 crore.
Post-acquisition, Natco Pharma will consolidate its share of Adcock Ingram’s net profits.

This acquisition, anticipated to finalize within four months pending regulatory approvals, positions Natco Pharma strategically in Southern Africa. The firm plans to utilize its research and development capabilities, regulatory know-how, and global marketing presence to enhance Adcock’s leadership in the region and explore new markets.
“The proposed transaction will provide Natco Pharma with a well-established entry into the Southern African market,” stated Rajeev Nannapaneni, CEO and Vice Chairman of Natco Pharma. He emphasized that this move will create new revenue opportunities while establishing a foothold in one of the fastest-growing emerging markets.
